1. Club Fiscal Year The Club fiscal year shall begin on July 1st and end on
following June 30.
2. Meetings
a. A business meeting shall be held quarterly or as the Executive Board determines.
Dates and times of the business meeting will be announced in advance to the
general membership.
b. A general meeting for the purpose of providing information, education, or
other activity shall be provided monthly or as the Executive Board determines.
c. Club Rides will be arranged by the Ride Schedule Director in cooperation
with members acting as Ride Leaders.
d. The order of club business meetings will follow parliamentary or standard
business practice.
e. Non-members are welcome at any general meeting or Club ride.
3. Dues
a. Annual dues will be determined by the Executive Board.
b. Annual dues are based on a calendar year and commence January 1.
c. A member's annual dues are due by December 1 and are delinquent if not paid
by January 31.
4. Duties of Officers In addition to the functions indicated in
the Constitution, officers shall have the specific duties as outlined below:
a. The President, Vice President and Treasurer may sign all checks disbursing
Club funds with two signatures required on all checks.
b. The Treasurer shall: 1) deposit all funds in the name of the Club at government
insured financial institutions, and 2) present reports of financial conditions
and operations at business meetings.
c. The Ride Schedule Director will coordinate the activities of those members
that volunteer to lead planned and published bicycle rides and other social
events.
d. The Secretary shall: Be responsible for the archives of the club, including
the recording of and maintaining minutes and records of meetings and correspondence
for the club.
5. Appointed Committee Directors and Chairpersons Committee positions
can include but are not limited to the following functions:
a. Membership Outreach Director: Who shall be responsible to process new and
renewal applications, collect, and forward dues to the Treasurer, mail membership
materials and other information to members.
b. Webmaster to maintain the club website.
6. Special Committees The Executive Board will establish, as needed, special or standing committees to support the Club's activities.
7. Budgeting and Expenditure of Funds The Executive Board will be responsible for the budgeting and expenditure of club funds. The Club will not provide financial support for a member's personal cycling activities, social events, or other competitive endeavors.
8. Safe Bicycling Practices All club riding practices shall be
in accordance with state and local traffic laws. Riding practices required by
the Mt Shasta Pedali Club include but are not limited to the following:
a. Hard shell ANSI approved (or equivalent) cycling helmets must be worn by
members and guests on all club rides.
b. Members shall come to a complete stop at all red lights and stop signs.
c. Riding to the right, with traffic.
d. The use of appropriate hand signals for turning and stopping.
e. Always riding in a safe, courteous manner which becomes the Mt Shasta Pedali
Club and reflects positively on bicycling.
f. Ride leaders may, at any time, request a member or guest not participate
in a club ride if the ride leader determines the safety of the participant,
member, guest or others may be in any jeopardy.
g. Members shall maintain their bicycling equipment in safe and serviceable
condition.
9. By-Law Amendment These By-Laws may be amended by adding a new section or revised by changing a current section by a simple majority of those present at any regular club meeting.
10. Adoption of By-Laws These By-Laws shall be adopted upon acceptance by a simple majority of those present at a regular club meeting.

CONSTITUTION OF MT SHASTA PEDALI
Article 1: Organization NameName: THE MT SHASTA PEDALI, referred to hereafter
as the CLUB. MT SHASTA PEDALI is a non-profit corporation under the laws of
the State of California, 237106, Social and Recreational.
Article 2: 0bjectivesSection A. The objectives of the Club are:
1. To promote interest in all aspects of bicycling; to: a. Encourage and facilitate
recreational bicycling for all skill levels; b. Encourage and facilitate bicycle
racing; c. Promote bicycling as a means of transportation.
2. To increase the awareness of the need for a safe bicycling environment.
3. To promote the practice of safe bicycling techniques.
4. To express the views of members of the Club in connection with legislative
and administrative proposals relating to equipment requirements for bicycles,
the establishment and maintenance of bicycling facilities, traffic regulations,
or other measures affecting bicycling, but not to support or oppose any political
candidate.
5. To promote and protect the rights of bicyclists.
6. To gather and publish for members information about bicycling, bicycle clubs
and their activities and other information related to bicycling in the form
of an up to date website.
Article 3: GeneralThe CLUB shall be non-partisan, non-profit and non-discriminatory as to gender, age, race, color, religion, creed, or national origin.
Article 4: MembershipMembership in the CLUB shall be in four categories
as follows:
a. Individual: Persons 18 years and above in age or under 18 years with consent
of parent or guardian.
b. Family: A family shall include an individual's spouse, living partner and
children under 18 years of age.
c. Honorary: Such membership may be awarded to a person, generally not involved
in Pedali activities or membership, who has done something outstanding and notable
for the CLUB and/or any phase of cycling. Privileges and obligations referred
to elsewhere in the Constitution and BY-LAWS do not apply to this membership
classification.
1- Any member may nominate someone for this Award.
2-Such nominee must be approved by the Board.
3- Mt Shasta Pedali may not appoint more than one Honorary Member per calendar
year.
CLUB membership shall terminate upon:
a. Non-payment of CLUB dues by January 31(automatic).
b. Member's resignation (automatic).
c. Executive Board's determination for activities detrimental to the CLUB's
interest. The member is entitled to a hearing before the Executive Board between
15 and 30 days after notice of the Executive Board's intent to terminate the
individual's membership. Membership termination shall be by a unanimous determination
of the Executive Board that the member's actions are detrimental to the CLUB's
interests and termination will be effective immediately.
Article 5: VotingAll members are entitled to vote on all CLUB business. A member must be present to vote.
Article 6: OfficersThe CLUB shall have the following officers
who can be nominated during the October regular meeting by current members and
elected by a majority vote of those present at the regular meeting in the month
of November. The officers shall hold office for a period of one year commencing
January 1 of the following year.
a. President: The President shall be the chief official representative at all
functions, preside at meeting of the Executive Board and General Membership,
appoint committee directors, oversee committee activities, expedite CLUB business,
provide leadership in accomplishing the objectives of the CLUB and perform other
duties as set forth in the BY-LAWS.
b. Vice President: The Vice President shall perform duties of the President
in the absence or incapacity of the President.
c. Secretary: The Secretary shall be responsible for the archives of the CLUB,
including the recording of and maintaining minutes and records of meetings and
correspondence for the club.
d. Treasurer: The Treasurer shall be responsible for the collection, safe keeping,
accounting of, reporting on and the dispersal of all CLUB funds in strict accordance
with the BY-LAWS of the CLUB and rules adopted by the Executive Board and such
additional duties as may be set forth in the BY-LAWS.
e. Ride Schedule Director: The Ride Schedule Director shall be responsible for
planning and supervising organized bicycle rides and duties as may be set forth
in the BY-LAWS. The officers listed above shall constitute the Executive Board,
which shall be responsible for the day to day operations of the CLUB.If an office
becomes vacant it shall be filled by the Executive Board until the next regular
election.An officer may be considered for removal from duties for inactivity
or conduct detrimental to the position or to the CLUB at the written petition
of one third of the CLUB membership or by vote of four fifths of the Executive
Board. The officer shall be given a 30 day notice of a hearing at the next general
meeting and if a majority (51%) of those present concur, the officer shall be
removed from office at that time.
Article 7: MeetingsThe CLUB shall have general business meetings quarterly, per the calendar year or as the Executive Board determines. A Special Meeting may be called at anytime the President deems needed or shall be called upon request by written petition of ten percent of the membership. The place of the meeting shall be announced in advance of each meeting. A quorum shall not be less than ten members with a minimum of three of the five Club Officers present at an announced meeting.
Article 8: Amendments and RevisionsThis CONSTITUTION may be amended by adding a new ARTICLE or revised by changing a current ARTICLE at any regular or special business meeting by a two thirds vote of those present provided that written advance notice of the proposed amendment or revision has been furnished the membership not less than fifteen days in advance of the meeting.
Article 9: AdoptionThis CONSTITUTION shall be adopted upon acceptance by two thirds of the membership present at a regular club meeting.
